1. Provider and contact

ProfitRocket is a profitability analysis service for e-commerce offered by [LEGAL NAME OF PROVIDER], with tax ID [TAX ID], registered at [FULL ADDRESS, COUNTRY] and registry details [REGISTRY DETAILS, IF APPLICABLE], hereinafter, "ProfitRocket" or the "Provider".

The service is offered through profitrocket.app. You can contact us about these terms, support, billing or claims at [CONTACT EMAIL].

2. Subject and intended users

These terms govern the registration, access and use of ProfitRocket and the contracting of its plans, whether free or paid.

The service is intended for use related to a business or professional activity. The person contracting on behalf of a company declares having sufficient authority to represent it. You must have legal capacity to contract and provide truthful and up-to-date information.

Whether a customer qualifies as a professional depends on the actual circumstances of their contracting. These terms do not exclude mandatory rights that may legally apply, including consumer rights when applicable.

3. Acceptance and contracting

Before completing registration or a paid subscription, these terms and, where applicable, a summary of the plan, its price, taxes, periodicity and limits will be provided. You will be able to review and correct the data before confirming.

Free sign-up does not authorize charges. Paid contracting requires an express action accepting the payment obligation. The receipt and conditions of the contracting will be confirmed by a means that allows them to be preserved.

Information about storage and access to the contract: [INDICATE HOW THE ACCEPTED VERSION IS STORED AND HOW THE CUSTOMER CAN OBTAIN IT]. The available contracting languages will be indicated in the process. You may keep a copy of these terms.

Particular conditions expressly accepted, such as Enterprise terms or an individual offer, shall prevail in their scope over these general terms. The data processing agreement shall prevail with regard to data processing carried out on behalf of the customer.

4. Account and access

You are responsible for keeping your account details up to date, protecting your credentials and using only the access methods and permissions allowed by the service. Notify us without delay of any unauthorized access of which you become aware.

You may only connect stores, ad accounts or other sources over which you have sufficient authorization. You may not use an account to access third-party data without permission or share access in ways that circumvent the service's controls.

The availability of a login method depends on its configuration and the corresponding provider. Permissions you grant to ProfitRocket can be revoked through the available means, with the effects on synchronization explained in these terms.

5. Features and scope of results

ProfitRocket allows you to organize and analyze sales and cost data, including, depending on available features, product, shipping, payment fees, returns, advertising and operating expenses. It may use authorized connections, imported files and manually entered data.

The features included are those described as available in the accepted offer. Features announced as future, in development or not configured are not considered active. The presence of a platform name should not be understood as implying an automatic connection with it.

Results depend on the information received, its temporal coverage, currency, configuration and quality. Missing data, estimated costs, pending synchronizations and adjustments may produce partial results or later changes. Metrics declared by advertising platforms may use different attribution models and do not necessarily equate to exclusive sales attributable to each channel.

ProfitRocket is a tool to support analysis. It does not replace accounting, bank reconciliation, or tax, legal or financial advice. It does not guarantee profits, advertising results or specific returns. This description of scope does not limit our liability for failing to provide the contracted services or for errors attributable to us under the law.

6. Plans and capacity

Standard plans have the following per-account limits:

Plan Orders per calendar month Active stores
Free Up to 50 1
Starter Up to 500 1
Growth Up to 1,500 3
Pro Up to 3,500 5
Scale Up to 8,000 10
Enterprise Per individual contract Per individual contract

Orders are summed across all stores in the account. For example, Growth allows up to 1,500 monthly orders in total across its stores, not 1,500 per store.

Free is a free plan with no predetermined expiration and does not require a card. Its availability and use are subject to these terms. All plans include the profitability features described for them in the offer, with the store capacity that corresponds.

The current price of paid plans, their currency and tax treatment are shown before contracting. The accepted total and particular conditions will be reflected in the contracting confirmation. Relevant technical limits for import or processing will be communicated in an accessible manner consistent with the contracted capacity.

7. Order and store counting

Consumption is calculated per calendar month in the account time zone indicated in the usage or billing section. The consumption month may not coincide with the subscription renewal period.

Each unique real order is counted by its original creation date. Test orders, demo data and drafts that have not become orders are not counted. An already counted order does not stop counting if it is cancelled or refunded. Its economic effect will be reflected, where applicable, in the reports.

Re-importing or syncing the same order should not generate additional consumption. Orders from different stores are independent even if they have the same number. Deleting data, archiving a store or reconnecting it does not reset or reduce the recorded consumption for the month.

When it is not possible to verify all activity from a source, the count will be identified as provisional or limited to imported data. A partial import will not be presented as a verified complete count.

Manual and connected stores occupy capacity while they remain active. Disconnecting a store does not by itself free up a slot. Archiving it preserves its history for reference and suspends its operation; reactivating it requires available capacity. Demo stores do not consume slots.

8. Exceeding limits and history

As you approach the monthly limit, usage notices will be displayed. Exceeding it starts a seven-day grace period for the account and that month. During this period you may switch to a sufficient plan without incurring excess charges or automatic plan changes.

The grace period does not reset through re-imports, reconnections or plan changes within the same month. If at the end you remain above the limit, new order imports and economic data synchronizations will be paused. Querying and exporting history, access to billing and correcting costs of existing records will be maintained. Reports will indicate that their data may be incomplete or outdated.

Activity in the new month may resume with its new quota. Pending data from a previous blocked period is not automatically recovered by changing months; its recovery requires sufficient capacity or an express grant. Contracting a sufficient plan allows recovering pending data within the technical possibilities and permissions of each source.

Historical orders are allocated to their original month, not the month in which they are imported. Importing a period that exceeds the plan's capacity will require a sufficient plan or particular conditions. This circumstance will be communicated before confirming the import and no automatic retroactive charges will be applied. A subsequent change to a lower plan does not eliminate the legitimately obtained history.

9. Price, payment and renewal

Standard paid subscriptions are billed monthly and renew automatically until cancelled. The purchase process will indicate the amount and the start date of the charge. Enterprise may have different particular conditions if expressly accepted.

Payment is processed through the provider shown at contracting. Their terms govern the provision of their payment service, without replacing our obligations regarding ProfitRocket. Confirmation of payment status may require checks or additional authentication.

You must keep the details needed for charging and billing up to date. An incomplete or failed initial payment does not activate paid features. Upon failure of a renewal of a previously active subscription, seven days from the first failure of the cycle will be granted to regularize payment. Retries do not reset this period. The incident and its effects on access will be communicated.

The grace for non-payment and the grace for exceeding orders are independent. The existence of one does not eliminate the restrictions that may apply due to the other. Once the payment grace is exhausted, paid features may be suspended, preserving the query and export options indicated in these terms.

10. Plan changes and cancellation

Before confirming a plan upgrade, the cost, any proration and when it will take effect will be shown. The additional capacity will be enabled once the change and corresponding payment are confirmed.

Downgrades to a lower plan will generally be scheduled for the next renewal. Information will be provided on how stores and usage fit into the new plan. You will need to select which stores remain active when necessary; their history will not be deleted and monthly consumption will not be reset by changing plans.

You may cancel renewal from the billing section or the enabled portal. If you cannot access it, you may request it via the contact email indicated in these terms. Cancellation will take effect at the end of the current paid period and its date will be confirmed.

Upon ending a paid subscription, the account may continue on Free according to its limits. If there are more stores or orders than allowed, the necessary actions and applicable restrictions will be communicated, preserving the available history for query and export.

Voluntary cancellation of renewal does not imply, by itself, a proportional refund of the started period. This does not affect refunds due to improper charges, non-compliance, particular conditions or applicable legal rights. Cancelling a subscription and requesting account closure are different operations.

11. Integrations and third-party services

Connections require the necessary permissions and are subject to the availability and conditions of their providers. Their technical changes, restrictions or interruptions may affect data reception. We will report incidents affecting the service when we become aware of them and will take reasonable measures to resolve their effects.

You may revoke a connection. Disconnection stops future updates from that source, but does not automatically equate to deleting the already imported history.

Shopify and other third-party brands belong to their respective owners. Their mention identifies sources or compatibilities and does not imply sponsorship or certification, unless expressly stated and verified.

12. Permitted and prohibited uses

It is not permitted to access third-party accounts or information without authorization; introduce malicious code; interfere with the security or availability of the service; use data obtained unlawfully; infringe third-party rights; resell access without authorization; or manipulate accounts, dates, identifiers and sources with the purpose of circumventing the contracted limits.

These restrictions do not prevent uses permitted by mandatory rules, the exercise of rights over your own data or security checks performed with our authorization.

13. Intellectual property and confidentiality

Rights to the software, design and content owned by ProfitRocket belong to the Provider or its licensors. During the term of the relationship, a non-exclusive right of use is granted for the contracted purpose, in accordance with the plan and these terms.

The customer retains the rights they hold over their data and content. You authorize us to use them only to the extent necessary to provide, maintain and protect the service and comply with applicable obligations, in accordance with the data protection documentation. This authorization does not constitute a transfer of ownership or a general authorization to sell customer data.

Both parties will protect confidential information received from the other and limit its access to those who need it and are subject to adequate obligations. Information that is public for legitimate cause, lawfully obtained from third parties, or whose disclosure is required by law is excepted. These obligations survive while the information retains its confidential character.

14. Personal data

The processing of registration, contact and billing data is explained in the Privacy Policy [PRIVACY_POLICY_URL]. Acceptance of these terms does not constitute a general consent for advertising or processing unrelated to the provision of the service.

When ProfitRocket processes personal data from orders or other sources on behalf of the customer, the roles of the parties and the conditions of processing will be governed by the Data Processing Agreement [DPA_URL], in accordance with Article 28 of the GDPR where applicable.

The customer must have legal basis to provide the corresponding data and instructions. The Provider maintains its own legal obligations as a processor or controller, as applicable. Information about sub-processors, transfers, security and return or deletion must be included in the applicable documentation; these terms do not replace it.

15. Availability and liability

We will provide the service with the required diligence and reasonable maintenance and security measures. Interruptions may occur due to maintenance or incidents. Unless otherwise agreed, no specific guaranteed availability percentage is established. Planned interventions with relevant impact will be communicated with reasonable advance notice when possible.

Each party will be liable for its breaches and damages attributable to it under applicable law. The customer must review coverage warnings and estimates before using the reports for decisions, without this exonerating the Provider from its own obligations.

Liability that cannot legally be excluded, or that arising from fraud or gross negligence, is not excluded or limited. Incidents from an external provider do not automatically exonerate the Provider from the obligations it owes the customer.

If an unforeseeable or unavoidable event temporarily prevents performance, the affected party will communicate it and seek to mitigate its effects. A prolonged impossibility that substantially frustrates the service will allow requesting termination and the economic adjustments that legally correspond.

16. Suspension, closure and data

We may adopt proportionate restrictions in the event of significant breaches, non-payment under the above terms, or verified security risks. The reason will be communicated and remediation will be facilitated when possible. Urgent measures necessary to protect data or systems may be taken without prior notice, informing afterwards when there is no legal or security impediment.

You may request closure of your account through [ACCOUNT CLOSURE CHANNEL]. Before closure, information about export options and deadlines will be provided. The return or deletion of personal data processed on behalf of the customer will be carried out in accordance with the data processing agreement and applicable legal obligations. Information that must be legally retained will have restricted access and use limited to its retention purpose.

Export, operational deletion and backup processing deadlines after closure: [COMPLETE THE ACTUAL POLICY AND ITS LINK, CONSISTENT WITH PRIVACY AND THE DPA].

Archiving a store, disconnecting it or cancelling a payment does not constitute a general deletion request. Personal data will not be retained indefinitely merely because there is no paid subscription.

17. Changes to terms and service

We may update these terms or the service due to technical, commercial or legal changes. Changes that materially adversely affect the contracted terms, including prices or capacity, will be communicated individually at least thirty days in advance, unless a different period is required by law or urgent actions justified by security or legal compliance.

The price of an already paid period will not be altered retroactively. The date of application and the options to not renew or terminate the relationship will be communicated. When new acceptance is necessary, it will be expressly requested; mere publication of a version will not replace that requirement.

If we discontinue the service, we will communicate it at least thirty days in advance when possible, offer a reasonable export opportunity and adjust the prepaid fees corresponding to the unprovided service. Particular conditions and concessions in effect will be respected on the terms under which they were granted.

18. Governing law and claims

These terms are governed by Spanish law, without prejudice to the mandatory provisions that may be applicable.

You may direct any claim to [CONTACT EMAIL], indicating the affected account and the reason. Disputes will be submitted to the courts that have jurisdiction under applicable law, without these terms imposing a waiver of mandatory jurisdiction.

If any provision is found to be invalid or unenforceable, the rest will remain in effect to the extent legally possible, without altering the essential balance of the contract.
